1. Acceptance of Terms

By accessing or using Optimal Path℠ (the “Service”), operated by Optimal Path (“we,” “us,” or “our”), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Early Access Notice

The Service is currently offered as an early-access product. Features, availability, and pricing are subject to change. Early-access participants may receive pre-release functionality that is provided as-is.

3. Eligibility & Accounts

You must be authorized to act on behalf of your organization. You are responsible for activity under your account and for keeping credentials secure. Notify us promptly of any unauthorized use.

4. Acceptable Use

You agree not to misuse the Service, interfere with its operation, attempt unauthorized access, scrape data, or use the Service to transmit unlawful, harmful, or infringing content.

5. Customer Data

You retain all rights to data you submit to the Service. You grant us a limited license to host, process, and display that data solely to provide the Service. Data handling is further described in our Privacy Policy.

6. Intellectual Property

The Service, including all software, designs, marks, and content provided by us, is owned by Optimal Path or its licensors. “Optimal Path” is a service mark of Optimal Path. No rights are granted except as expressly set out in these Terms.

7. Confidentiality

Each party agrees to protect the other’s non-public information disclosed in connection with the Service and to use it only for the purpose of performing under these Terms.

8. Disclaimers

The Service is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free.

9. Limitation of Liability

To the fullest extent permitted by law, Optimal Path will not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or goodwill arising from or related to the Service.

10. Termination

We may suspend or terminate access to the Service at any time, with or without notice, for conduct that violates these Terms or is harmful to other users, us, or third parties. You may stop using the Service at any time.

11. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated through the Service or by other reasonable means. Continued use of the Service after changes take effect constitutes acceptance.

12. Governing Law

These Terms are governed by the laws of the United States and the state where Optimal Path is organized, without regard to conflict-of-laws principles.
